Terms & Conditions

1. Who you are contracting with

These Terms & Conditions ("Terms") are between you ("you", "your") and Round Out (Pty) Ltd, a company registered in South Africa, trading as Tenderfy ("Tenderfy", "we", "us", "our"). They govern your access to and use of the Tenderfy website, applications and related services (together, the "Service").

2. Acceptance

By creating an account, signing in or otherwise using the Service, you agree to be bound by these Terms and our Privacy Notice. If you do not agree, do not use the Service. If you use the Service on behalf of a company or other organisation, you confirm you have authority to bind that organisation to these Terms.

3. The Service

Tenderfy helps South African suppliers discover public-sector tenders, assess readiness, prepare submission packs and submit tenders on platform. Features vary by subscription plan and may change over time.

4. Account & credentials

You must provide accurate information when registering and keep it up to date. You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorised access.

5. Acceptable use

You must not, and must not permit anyone to:

  • use the Service unlawfully or to commit fraud, spam or harassment;
  • upload or share content that infringes intellectual-property rights or breaches confidentiality;
  • interfere with the security or integrity of the Service, including probing, scanning, distributing malware, or attempting to gain unauthorised access;
  • scrape, harvest or bulk-download tender data, supplier profiles or other content other than via interfaces we expressly provide;
  • reverse engineer, decompile, resell, or otherwise exploit the Service beyond the rights granted in these Terms;
  • submit knowingly false information in tender submissions made through the Service.

6. Intellectual property

Round Out (Pty) Ltd (and its licensors) own all rights, title and interest in the Service, including software, models, datasets, documentation, branding, designs and "Tenderfy" name and marks. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your own internal business purposes during your subscription.

7. Your content

You retain ownership of company information, documents, submissions and other content you upload ("Your Content"). You grant us a worldwide, royalty-free licence to host, store, process, transmit and (where you instruct us to do so) forward Your Content solely to provide and improve the Service. You are responsible for having all necessary rights in Your Content.

8. Payments & subscriptions — Paddle as Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes, invoicing, renewals, cancellations and refunds are handled through Paddle and are governed by the Paddle Checkout / Buyer Terms in addition to these Terms. Subscriptions renew automatically at the end of each billing period (monthly or yearly, as selected) until cancelled. You can manage or cancel your subscription at any time from the Subscription page in Tenderfy or via the Paddle customer portal.

9. Refunds

Refunds are governed by our Refund Policy. Please review it before purchasing.

10. Service availability

We work hard to keep Tenderfy available and accurate but do not guarantee that the Service will be uninterrupted, error-free, secure against every threat, or that any specific tender data, match score, readiness analysis or forecast will be complete or correct. The Service is provided "as is" to the fullest extent permitted by law.

11. Disclaimers

To the fullest extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose and non-infringement. Tenderfy does not provide legal, tax, accounting or procurement advice. You remain solely responsible for the content, accuracy and lawfulness of any tender submission you make.

12. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the Service is limited to the fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunities, even if advised of the possibility. Nothing in these Terms excludes liability that cannot lawfully be excluded.

13. Indemnity

You will indemnify and hold Round Out (Pty) Ltd harmless from claims, losses and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, or your breach of these Terms.

14. Suspension & termination

We may suspend or terminate your access immediately if you materially breach these Terms, fail to pay fees, expose the Service to security or fraud risk, or violate our acceptable-use rules repeatedly or seriously. You may stop using the Service at any time by cancelling your subscription. On termination, your right to use the Service ends; we may delete or anonymise Your Content after a reasonable export window, subject to legal retention requirements.

15. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. We will give reasonable notice of material changes. Continued use of the Service after changes take effect constitutes acceptance.

16. Governing law & disputes

These Terms are governed by the laws of the Republic of South Africa. The courts of South Africa have exclusive jurisdiction over any dispute arising out of or relating to these Terms, except that we may seek injunctive relief in any court of competent jurisdiction.

17. Assignment

You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganisation or sale of assets.

18. Force majeure

Neither party is liable for delay or failure caused by events beyond its reasonable control, including acts of God, war, civil unrest, strikes, outages of third-party services, or government action.
